Centek Client Portal End User License Agreement

Effective October 25, 2026

1. Agreement

By signing in to or using the Centek Client Portal (the “Portal”), you agree to this End User License Agreement (“Agreement”). It is effective October 25, 2026. If you do not agree, do not use the Portal.

The Portal is provided by Centek, Inc. (“Centek”, “we”, “us”) to its managed-services clients. You may use it only if your organization is a Centek client and has authorized you. If you use the Portal for your organization, you confirm you have its permission to do so.

This Agreement covers your use of the Portal itself. The services Centek provides to your organization are governed by your organization’s services agreement with Centek. If the two conflict, the services agreement controls.

2. License and acceptable use

Centek grants you a limited, non-exclusive, non-transferable, revocable license to use the Portal to view your organization’s information for its internal business purposes. Centek keeps all rights in the Portal not expressly granted here.

You agree not to:

  • Share your sign-in, let others use your access, or try to access another organization’s information.
  • Probe, scan or test the Portal’s security, or bypass any access control, without Centek’s written permission.
  • Copy, modify, reverse engineer, resell or build a competing product from the Portal.
  • Use automated tools to scrape the Portal, or overload or disrupt it.
  • Use the Portal for anything unlawful.

Account security. Keep your Microsoft, Google or email account secure, and tell Centek promptly by email (see Contact, below) if you think someone has used your access without permission. Your organization is responsible for asking Centek to remove people who should no longer have access.

3. Your data and third-party services

Your data. Your organization owns its information shown in the Portal. Centek uses it only to provide services to your organization, as described in the Centek Client Portal Privacy Policy.

Third-party services. The Portal displays information from third-party services Centek uses, including Microsoft, Google, Intuit QuickBooks Online, NinjaOne, SentinelOne, Huntress, RoboShadow and Proofpoint. Payments and invoice downloads are handled by FlexPoint. Those services are provided under their own terms. Centek is not responsible for their availability or for changes they make.

Accuracy. Information in the Portal comes from those services and may be delayed or incomplete. For example, a payment can take a day to show on an invoice. Your organization’s invoices and statements from Centek, and your services agreement, are the official records. Contact Centek if something looks wrong.

4. Disclaimers and limitation of liability

THE PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, CENTEK DISCLAIMS ALL WARRANTIES ABOUT THE PORTAL, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DOES NOT PROMISE IT WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE EXTENT THE LAW ALLOWS, CENTEK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE PORTAL. Any other liability relating to the Portal is limited as set out in your organization’s services agreement with Centek. These limits do not change Centek’s obligations under that agreement for the services it provides.

5. Termination

Your license ends when your organization stops being a Centek client, when your organization removes your access, or if you breach this Agreement. Centek may suspend or end access to the Portal at any time, for example to protect its security. Sections 3 to 6 continue after termination.

6. General

Governing law. This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

Changes. Centek may update this Agreement. We will post the new version with its effective date. Continuing to use the Portal after an update means you accept it.

Entire agreement. This Agreement, the Privacy Policy and your organization’s services agreement are the whole agreement about the Portal. If any part is unenforceable, the rest still applies.
